3. Service Agreements

  • Each engagement is provided under a separate service agreement, proposal, or invoice.
  • That agreement sets out the specific scope, deliverables, timeline, and payment terms for the project.
  • Changes to the agreed scope of work may require a written amendment or a new agreement, and may affect timeline or price.

4. Payment Terms

  • Payment terms for a project are specified in the relevant service agreement or invoice.
  • Payments should be made according to the schedule set out in the invoice provided.
  • Late payments may result in a pause of services or additional charges.
  • Payment disputes should be raised within 7 days of receiving the relevant invoice.

5. Intellectual Property

  • We treat client information shared with us in the course of a project as confidential.
  • Confidential information includes business, financial, technical, and other proprietary information shared for the purpose of the engagement.
  • We will not disclose confidential information to third parties without your consent, except as required by law or as necessary to deliver the service (for example, to a subcontractor or infrastructure provider bound by confidentiality obligations).

7. Client Responsibilities

  • You are responsible for the accuracy and legality of any content, materials, or access credentials you provide for use in a project.
  • Timely feedback and approvals from you are often required to keep a project on schedule; delays in providing these may affect delivery timelines.

8. Limitation of Liability

  • Our total liability arising out of a service is limited to the total amount paid by you for the specific service giving rise to the liability.
  • We are not liable for indirect, incidental, special, or consequential damages.

9. Termination

  • Either party may terminate an engagement with written notice, as specified in the applicable service agreement.
  • Upon termination, any outstanding invoices for work already performed become due immediately.
  • We may suspend or terminate services if you fail to meet your obligations under the applicable agreement, including payment obligations.

11. Governing Law and Dispute Resolution
